www.ultratechindianext.com (“Website”) is the official website designed, developed and maintained by UltraTech Cement Limited ("UltraTech/ We/ Us") to bring forth solutions, exchange ideas and organizes various contests in relation to “India Next Initiative 2021”. India Next Initiative 2021 is a theme concerning building and construction development in India by identifying challenging issues.

Please read these Terms of Use which, together with the Privacy Policy, disclaimers and terms published (collectively “Terms”) that govern your use of the Website.

These Terms are a legally binding contract between us, UltraTech Cement Ltd. of B-Wing, Ahura Centre, 2nd Floor, Mahakali Caves Road, Andheri East, Mumbai, Maharashtra – 400093, India and users of the Website (“Users”).

Unless the context otherwise requires, Users means any person who has registered on the Website for using the Features (as defined below) and all persons who use, access, browse the Website in any manner.

These Terms may be updated by us, from time to time with or without specific intimation to you. Your use of the Website will be considered your deemed acceptance of the revised Terms. These Terms apply in addition to any other terms and conditions that UltraTech or its affiliated organizations may ask you to accept in relation to different activities offered to you through the Website. It is your responsibility to review the Terms frequently for any updates / modifications to the Terms.

By using the Website, you agree and acknowledge that (i) you are either User; (ii) you have the authority to enter into these Terms; (iii) you have read all the Terms; and (iv) you agree to be bound by all the Terms.

If you do not agree to be bound by the Terms, please do not access or use the Website.

1. Eligibility:
1. The Website and/or the Features are available only to Users who can form legally binding contracts under Indian Contract Act, 1872 (“Contract Act”). Persons who are "incompetent to contract" within the meaning of the Contract Act including minors, un-discharged insolvents etc. are not eligible to use the Website.
2. By using the Website, You represent and warrant that:
  1. You are at least eighteen (18) years of age and are not disqualified from contracting by law;
  2. You are entering into these Terms out of your own free will and consent
3. If a User is below, 18 years of age, it is assumed that he/she is accessing, browsing and/or using the Website under the supervision of his/her parent or such person who is legal guardian under the applicable laws of India (“Eligible Person”) and that such Eligible Person has read and agrees to the terms of this Terms on behalf of the User. Should UltraTech be made aware that a User is not of the legal age and is accessing, browsing and/or using the Website without the supervision of an Eligible Person, UltraTech reserves the right to deactivate such User’s account without further notice.
4. If You register on behalf of a business entity, You represent that You are duly authorized by the business entity to accept the Terms and You have the authority to bind the business entity to the Terms in accordance with the applicable laws.
2. Features:

The Website / UltraTech IndiaNext2021- Build with Speed is an initiative designed to endorse all possibilities of an idea that can make a difference and bring forth innovative solutions to shape the future of the nation. The IndiaNext2021 - Build with Speed, is about anchoring design with the help of the latest technologies, processes and materials to recraft India’s growth story.
The Website offers the following Features:
2.1 Audio Visual Centre:

The Website contains videos, content & testimonials regarding “India Next 2021 Initiative”. For this purpose, Users have access to a wide range of videos, content and articles on the Website. Any informational videos and/ or information contained on the Website are provided on best efforts basis and is only a guide. Such information does not constitute the rendering of technical, legal, or other professional advice or services. Information shared through the Website should not be relied upon or used as a substitute for consultation with professional advisors. UltraTech also does not guarantee any periodical review of content nor does it make any representation or warranties with respect to accuracy, applicability, fitness or completeness of contents of video or information on the Website.

UltraTech disclaims all liabilities to User for any loss caused by errors, omissions, incomplete nature of the collection of information provided on the Website or contents of the videos.

The copyright in the material contained in the Website solely belongs to UltraTech Cement Limited (UTCL) and unless expressly authorised by UTCL any publishing, recording, broadcasting, rebroadcasting or web streaming of content owned/ hosted/ promoted by UTCL is strictly prohibited. The UTCL has exclusive copyrights to the various webinars hosted/promoted and as such LIVE or delayed broadcast on Television, websites, blogs and/or social media platforms such as Facebook, Instagram, Snap Chat, Twitter and YouTube. Any person, entity or corporation found at any event in violation of this, will be liable to be charged under applicable intellectual property laws.

The views expressed and any related material by speakers or other third parties in UltraTech Cement Limited (UTCL) webinars, events and/or conferences are those of the speaker or third-party and not, necessarily, of UTCL. With regard to any information presented by a speaker or third-party at any UTCL event, UTCL does not make any warranty or representation of any kind, express or implied and specifically disclaims any legal liability or responsibility for the accuracy, completeness, or usefulness of any information presented. The information contained in the Webinar presentations and related materials are not intended to constitute advice of any kind or the rendering of consulting, or other professional services. 2.2 Organising Webinars:

The Website organises various informational live Webinars relating to India Next 2021 Initiative. Details of the Webinars will be displayed on the Website and/or updated to Users via emails/messages. For attending/participating in Webinars, User is required to complete registration process on Website as stated under Clause 2.3 below.
2.3 Organise contest:

Through the Website, we organise contest (“Contest”) relating to “IndiaNext2021 Initiative” for Users. Interested Users will submit the entries for Contest as per the notified rules issued by us from time to time and terms contained herein. Rules for each Contest may vary, hence, User is advised to check the rules for each Contest. Details of Contest are available on [www.ultratechindianext.com]
- Eligibility to participate in Contest:
  1. Only engineers, architects, design professionals or students who are pursuing their under-graduation / post graduation course in engineering, architectural and designing from any recognized university/college in India can participate in the Contest.
- How to register for Contest:
  1. For participating in Contest, User shall have to register and create an account on the Website.
  2. You will receive an email for verification and registration of your account.
  3. Upon completing the registration and verification process, an account will be designated to You.
  4. For the purposes of registration and identifying a User on the Website, UltraTech may, from time to time, collect certain personally identifiable information such as Your first name and last name, email address, mobile phone number, postal address, other contact information, demographic profile, etc. By registering on the Website, it is deemed that the User has given express and specific consent for such collection and processing of data for the purpose of use of the Website. Registration on the Website is one-time, and You are required to remember Your username and password and keep the same confidential. In the event where You have misplaced Your username and password details, You can retrieve and change the same using the “forgot username/password” option on the Website. User must not disclose, transfer, sublicense or otherwise part away with the username and password or try to circumvent them in any manner whatsoever and UltraTech shall bear no responsibility for any loss arising out of such disclosure.
- General Rules for Contest:
  1. Participating team must comprise of at least 1 (one) architect and 1 (one) engineer or 1 (one) student pursuing architectural course and 1 (one) student pursuing engineering course.
  2. Participating team can be maximum upto four (4) members.
  3. The entries should be the original work of participant and should be the sole original owner/proprietor of the work submitted. The entry including but not limited to images, designs, drawings, write-up or any other information should not infringe any third party’s intellectual property rights or any other proprietary rights, in whole or part., If any intellectual property right infringement is found/reported, You shall be solely responsible for such infringement and the entry shall be disqualified,
  4. Participating team must submit original, new and innovative design solution.
  5. You agree that you will participate in the Contest at your own free will and consent.
  6. Entry into a Contest constitutes your acceptance of these Terms and any such other term as specified under such Contest.
  7. UltraTech reserves the right to restrict/disqualify any User from participating in the Contest, for any reason, in its sole and absolute discretion. Such decision shall be binding on the User.
  8. UltraTech will not be responsible for and not consider incomplete or incorrect entries or information submitted by User for a Contest.
  9. UltraTech reserve the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest or any portion thereof.

    2. Winner/s of a Contest will be selected by selected panel of jury who will evaluate the entries basis the best solution and criteria/qualifications notified by UltraTech.
    3. UltraTech reserves the right to alter any prize after updating specific rules of the Contest.
    4. All the winners will be awarded with prizes (both cash & rewards) as declared on the Website.
    5. Contests are not for Users in Tamil Nadu.
    6. Prizes shall not be transferable.
    7. All the winners of a Contest will be notified by an award ceremony, details of which will be provided/updated by UltraTech on the Website.
    8. Any decision taken by UltraTech shall be final and binding on Users.
    9. Rules for disqualification of User from the Contest are as follows:
      1. Any User found to be employed with the sponsors/organisers or to the competition will be automatically disqualified;
      2. Any submission/s delivered later than the deadline date on the Website will be disqualified, regardless of the reason;
      3. The design panels, walkthroughs and synopsis should not have the name of the participating team/s at any place. Any non-compliance will render the entry/entries disqualified;
      4. Competition entries must not infringe the intellectual property right of any other work, either in whole or in part. If intellectual property right infringement is found, the entry in question will be disqualified;
      5. Each participating team is eligible to submit up to two (2) separate entries. Any entry submitted entry beyond this permissible limit shall be automatically disqualified.
2.4 When you access/use the Website, you consent to be contacted by our authorised representatives including by our customer support representatives.
2.5 The list of Features listed above is not comprehensive but merely indicative in nature. UltraTech may provide additional features/services on the Website from time to time, as may be relevant
3. Advertisements

UltraTech reserves the right to place advertisements and publicity materials of its choice, including that pertaining to third parties for commercial use on the Website.
4. Registration
1. To access the Website and use the Features, you are required to register on the Website by providing true and correct information about yourself as prompted on the Website.
2. If you register on the Website, or if you otherwise provide information on the Website, you agree to (a) provide true, accurate, correct and complete information about yourself as prompted by the Website, and (b) maintain and promptly update such information to keep it true, accurate, correct and complete. If you provide any information to UltraTech that is false, misleading, inaccurate, outdated or incomplete, or UltraTech has reasonable grounds to suspect that such information is false, inaccurate, misleading, outdated or incomplete, UltraTech has the right to suspend or terminate your registration and to prohibit any and all current or future use of the Website (or any portion thereof) by you, without any notice/intimation to you.
3. When you register on the Website:
  1. You agree to get periodic SMS alerts, WhatsApp texts and/or e-mails from UltraTech in relation to the following:
    1. Update, amendment, change in the Terms;
    2. Updates on Contest;
    3. Specific services availed through the Website, and;
    4. Promotional messages including offers, updates on new services, features and promotions;
4. UltraTech recommends that You exit or log out from Your account at the end of each session if using a public computer. UltraTech cannot and will not be liable for any loss or damage arising from misuse of Your account or information therein, because of Your failure (including negligence, act of omission and commission) to comply with the requirements under this section.
5. The User shall assume all risks, liabilities, and consequences if his/her account has been accessed illegally or without authorisation through means such as hacking and if through such unauthorised access, any access.

7. We reserve the right to:
  1. Make all decisions in relation to inter alia your registration with UltraTech;
  2. Request additional documents and additional information from you for the purpose of your registration as a User for use of Website.
5. User Conduct
1. UltraTech reserves the right to place advertisements and publicity materials of its choice, including that pertaining to third parties for commercial use on the Website.
  1. for any purpose that is unlawful, illegal or forbidden by law;
  2. to send communications containing unsolicited / unauthorized/misleading advertisements, promotions or marketing material;
  3. that may result in harm to the reputation of or disparage UltraTech;
  4. in any manner other than as agreed in the Terms.
2. When you use the Website and/or contact UltraTech for any purpose including providing Feedback, you specifically undertake not to host, display, upload, modify, publish, transmit, update or share any User content, through the Website and otherwise, that:
  1. belongs to another person and to which you have no right;
  2. is grossly harmful, harassing, blasphemous, defamatory, discriminatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever.
    1. harms minors in anyway;
    2. infringes any patent, trademark, copyright, or other proprietary rights;
    3. violates any applicable laws;
    4. deceives or misleads the addressee about the origin of such messages or communicates any information that is grossly offensive or menacing in nature;
    5. impersonates another person;
    6. contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource;
    7. threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation;
  3. UltraTech does not covenant or warrant that:
    1. the Features will be made available at all times;
    2. any content displayed or available on the Website is complete, true, accurate or non-misleading.
6. Intellectual Property
1. Rights of UltraTech
  1. You acknowledge and agree that all the rights, title and interests in the Website, including UltraTech’s compilation of information, images, videos and all the intellectual property rights therein or related thereto are solely and absolutely owned by UltraTech or its licensor. All such rights, title and interests shall continue to vest with UltraTech or its licensor.
  2. All intellectual property including in relation to the domain name www.ultratechindianext.com, any trademarks, logos, images, videos and other content available on the Website belongs exclusively to UltraTech or its licensors. Through your use of the Website, by no means is any proprietary right in any intellectual property impliedly or expressly granted by UltraTech to you. UltraTech reserves all rights not expressly granted to the User under these Terms.
    
    UltraTech acknowledges that it shall not have any absolute right, title and interest over the entries submitted for the IndiaNext competition 2021. By participating in this competition, you grant UltraTech a world-wide, perpetual, irrevocable, non-exclusive, transferable, royalty free and sub-licensable right and licence to use reproduce, modify, adapt, publish or display (in whole or in part) any intellectual property contained in the content of the entry, without royalty, payment or other compensation. You confirm that you have the absolute and complete authority to grant these rights and agree, declare and confirm that you shall not assert any moral rights with respect to such use.
2. Your Rights
  1. UltraTech grants Users a limited, royalty-free right to use the Website only for non-commercial purposes.
  2. Unless explicitly stated or otherwise authorised by UltraTech, you agree not to reproduce, modify, sell, distribute, mirror, frame, republish, download, transmit, or create derivative works of the domain name www.ultratechindianext.com and the content on the Website, in whole or in part, by any means. You must not remove or modify any copyright or trademark notice, or other notice of ownership.
7. Third Party Sites / Content
1. The Website may provide links or direct you to various third party websites. If you use any of these links, you may be directed / redirected to such external websites.
2. If you decide to visit any such external link, you agree to do so at your own risk, responsibility and liability. UltraTech does not endorse any website linked to the Website or the information appearing therein or any of the products or services described therein. You agree that UltraTech is in no way responsible for the accuracy, timeliness or completeness of information that it may obtain from these third parties and which may be posted / published on the Website and as may be amended from time to time. You are advised use your own judgment when engaging with third parties or relying on third party information available on the Website.
3. Any display of third party goods / services offered through the Website does not in any way imply, suggest, or constitute any reputation, sponsorship, endorsement or approval of UltraTech by any such third parties.
4. Use of such third-party links shall be governed by a separate agreement between you and such third party. UltraTech will have no liability with respect to the acts, omissions, errors, representations, warranties, breaches or negligence of any such third parties or for any refunds, exchanges, personal injuries, death, property damage, or other damages or expenses resulting from interactions of the User with such third parties or from availing any goods / services from such third parties.
8. Suspension and Deactivation
1. UltraTech reserves the right to suspend, limit access, completely deny access to the Website or any portion thereof, without notice and for any reason including, without limitation, non-compliance with these Terms and remove content without prior notice if such content is in violation of any law in force in India.
2. UltraTech may also be required to supply relevant User details and data to the applicable authority, regulator, court or other third parties including to comply with applicable laws or court orders/judgments. If investigations are ongoing and unresolved issues remain, then UltraTech will continue to suspend the User. UltraTech also reserves the right to initiate appropriate civil or criminal action against you in the event of violation of these Terms or applicable laws. UltraTech will cooperate in all investigative procedures or requests for access / information initiated by any such government or law enforcement authorities.
3. Upon suspension of the User account, regardless of the reason(s), all licenses granted to you hereunder will immediately cease and your right to use the Website immediately ceases. UltraTech shall not be liable to you or any third party for any claims or damages arising out of any suspension of your user account or any other actions taken in connection with such account suspension.
9. Feedback

Your feedback is important to us. Users can provide feedback, suggestions, and ideas about the Website and/or Features ("Feedback"). When providing Feedback, Users agree to adhere to the terms mentioned in Section 6.2 above. Users agree that UltraTech may, in its sole discretion, use the Feedback you provide to UltraTech in any way, including to make future enhancements and modifications to the features. You hereby irrevocably, absolutely and perpetually assign to UltraTech and its assigns rights, title and interests in the Feedback in lieu of the services provided in the worldwide territory.
10. Representation and Warranties

You hereby represent and warrant:
1. You have all requisite power and authority to execute and perform in accordance with these Terms;
2. These Terms constitute legal, valid and binding obligation on you;
3. The execution and performance of the Terms does not in any way conflict or violate any provision of law, rule, judgment, order or any other contract applicable to you.
11. Liability Disclaimer
1. We exclude all representations and warranties relating to (i) the Website, content on the Website; (ii) third party links or other sources provided on the Website; (iii) Features on the Website. UltraTech makes no warranty or representation that any errors in the Website will be corrected.
2. UltraTech does not make any warranties or representations regarding the use of the materials in the Website in terms of their completeness, correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise.
3. You agree that use of the Website is at your sole discretion. UltraTech is not responsible or liable for any consequences arising out your use of the Website.
4. The Website is provided on a “AS IS” and “AS AVAILABLE” and "with all faults" basis with no representations or warranties whatsoever. UltraTech shall not liable for any network, technical or other operational difficulties or problems which may result in loss of your data, monetary loss, personalization settings or other interruptions in the features offered on the Website. UltraTech shall also not be liable for the deletion, loss, mis-delivery, timeliness or failure to store or transmit any features or other aspects of the Website, content on the Website or your personalization and / or User account settings.
5. The Website may be unavailable or be interrupted owing to upkeep and maintenance or for reasons beyond our control and thus we do not make any representation that the Website will be uninterrupted.

8. UltraTech is not liable for any loss suffered due to reasons beyond the control of UltraTech.
12. Indemnity
1. Users agree to defend, hold harmless and indemnify UltraTech and, subsidiaries, associates, affiliates and of UltraTech from and against any and all losses, costs, expenses, damages or other liabilities incurred from and against any cost, liability, loss, damage, cause of action, claim, suit, proceeding, demand or action brought by a third party, due to or arising out of or in connection with (a) your use of the Website and/or (b) your breach of any provision of the Terms and/or (c) any fraud, negligence, wilful misconduct or intentional wrongdoing on your part and/or (d) misappropriation or infringement and/or passing off of any intellectual property by You.
2. If you are using this Website on behalf of any legal entity, then you and the legal entity shall be jointly and severally be responsible to indemnify us, our affiliates, directors, agents and employees, harmless against any and all cost, liability, loss, damage, cause of action, claim, suit, proceeding, demand or action brought by a third party against us, our affiliates, directors, agents and employees, due to or arising out of or in connection with your use of the Website, or the Feedback given by you on the Website; or your breach of any provision of the Terms; or any negligent or intentional wrongdoing by you on the Website.
3. You shall not settle or compromise any such matter in respect of which any indemnity claim arises without our prior written consent. UltraTech shall be entitled to participate in such defence through our own counsel at your cost and expense.
13. Limitation of Liability

To the fullest extent permitted by law, UltraTech is not and will not be liable for any direct, indirect, remote, punitive, special, incidental, consequential, or exemplary damages (including, without limitation, loss of business, revenue, profits, goodwill) arising out of or in connection with the Website, even if UltraTech has previously been advised of, or reasonably could have foreseen, the possibility of such damages, however they arise, whether in breach of contract or in tort (including negligence), including without limitation to damages due to: (a) the use of or the inability to use the Website or (b) for any features on the Website or (c) conduct of any User on the Website (c) unauthorized access to or alteration of transmissions or data, (d) malicious or criminal behaviour, or false or fraudulent transactions (e) technical or other operational lapses on the Website.
14. Personal Information and Data Security
1. UltraTech may collect, store, use, process and transfer information provided by you at the time of registration of your user account, or during the course of your use of the Website, including your personal information that shall be governed by the applicable data protection laws and the Privacy Policy.
2. For more information on the security measures and systems that UltraTech has in place for the protection of personal Information collected from you on the Website, kindly refer to our Privacy Policy. Acceptance of this Term shall deemed to be acceptance of Privacy Policy.
15. Governing Law & Jurisdiction

This Agreement along with your use of the Website is governed by and construed in accordance with the laws of India.

In the event any dispute arises out of or in connection with the Terms herein, including the validity hereof, the Parties hereto shall endeavor to settle such dispute amicably in the first instance. The attempt to bring about an amicable settlement shall be treated as having failed as soon as one of the parties hereto, after reasonable attempts, which shall continue for not less than 15 (Fifteen) calendar days, gives a notice to this effect, to the other party in writing.

If Parties are unable to resolve the dispute within thirty (30) days through negotiation, UltraTech and the User hereby expressly agree that all disputes shall be finally settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be conducted in the English language. The seat of arbitration shall be Mumbai. The arbitration shall be conducted by a sole arbitrator mutually appointed by UltraTech and the disputing User. Arbitration awards shall be reasoned awards and shall be final and binding on UltraTech and the disputing User/s and shall be enforceable in any court of competent jurisdiction.
16. Relationship
1. These Terms does not create the relationship of employer - employee, principal and agent, joint ventures, or partners between the Users and UltraTech, and in no circumstances, Users shall be considered as agent of UltraTech.
2. You acknowledge and agree that you have complete discretion whether to use Website or not and/or otherwise engage in activities on the Website.
17. General Provisions
1. Entire Agreement: For Users, the Terms constitute an entire, valid and binding agreement between you and UltraTech and governs your access and use of the Website.
2. Binding Nature: These Terms shall be binding upon you and UltraTech and your legal heir, administrator, executor, successors-in-interests and per
3. mitted assigns. Severability: If one or more of the provisions contained in the Terms is held invalid, illegal or unenforceable in any respect by any court of competent jurisdiction, such holding will not impair the validity, legality, or enforceability of the remaining provisions.
4. Waiver: The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any further right hereunder.
5. Assignment: Your relationship with UltraTech is a personal arrangement. You may not assign or sub-license, without the prior written consent of UltraTech, the rights, duties or obligations under the Terms, in whole or in part, to any person or entity. UltraTech may assign or sub-license in whole or in part any of its rights, duties or obligations under the Terms to any of its affiliates.
6. Conflict: In the event there is any conflict between the terms set out in these Terms of Use, the Privacy Policy, and any other policies applicable to specific pages of the Website, the following order of prevalence shall apply: (i) the Privacy Policy (ii) these Terms of Use, (iii) any other policies applicable to specific pages of the Website.
